  1. Introduction. These Meow Card Rewards Terms (“Rewards Terms”) govern your (“Company”, “you”, “your”) participation in the Card Rewards Program (“Rewards Program”) and describe how you may be eligible for, accrue, earn, redeem and/or forfeit Rewards, including Cashback Credits. By opening and maintaining a Meow Account in good standing, you are automatically enrolled in the Rewards Program. You acknowledge and agree that the Rewards Program is exclusively offered by Meow Technologies Inc. (“MTI”) and is not endorsed, sponsored, or administered by any partner financial institution or card network.

    Capitalized terms used in these Rewards Terms have meanings provided in Section 7 below or as defined in the Meow Terms of Service.

    We may update these Rewards Terms with or without notice to you by posting an updated version at any time on www.meow.com (“Meow Website”). Any continued use of your Meow Account or any card associated with your Meow Account (“Card”) after we post updated Rewards Terms will constitute your acceptance of those updates. For example we may:

    • Change the eligibility of certain Meow Accounts for participation in the Rewards Program.
    • Change when, how, and under what conditions you may earn or redeem Rewards.
    • Make changes to the structure of the Rewards Program including the convertibility of Rewards to Cashback, Cashback Credits, points, or other mediums of redemption.
    • Change the rate at which Rewards are earned, including qualified transactions, eligible categories, eligible merchants, and definitions of categories.
    • Limit accrual and redemption of Rewards, including through caps, fees, and expiration.
    • Otherwise change or modify the Rewards Program.
    • Terminate the Rewards Program.
  2. Requirements and Eligibility for Participation. To be eligible for the Rewards Program, your Meow Account must continuously be in good standing. If your Meow Account is not in good standing for any reason, or we determine in our sole discretion that you are abusing, gaming, or misusing the Rewards Program or have otherwise violated our Terms of Service, you may be ineligible to earn or redeem Rewards and may forfeit any Rewards previously earned. We may condition, restrict, limit, or revoke Rewards in our sole discretion.

    Certain Meow accounts may not be eligible to participate in the Rewards Program. We may update or change eligibility criteria, restrictions, and requirements at any time.

  3. Earning Rewards. The Rewards Program allows you to accrue Cashback Credits when you make a Qualified Purchase using a Card. For each Qualified Purchase you make, you accrue Cashback Credits at a rate and in an amount displayed on Meow's Website. The rate at which you earn Cashback Credits is based on the Rewards Tier (“Tier”) you are actively enrolled in. You can view your active Tier by visiting https://app.meow.com/cards.

    Rewards are only available and earned in connection with Card purchases and not other products or services offered by Meow. There is currently no limit to the amount of Cashback Credits you may earn as part of this Rewards Program; however, Meow reserves the right to change the amount of Cashback Credits you can earn, including by applying a cap or instituting other limitations or conditions. Cashback Credits do not expire but may be forfeited. Cashback Credits are made available for redemption on the 10th of the month following the month when the corresponding transaction has settled and is not subject to refund, dispute, or Chargeback. Cashback Credits are not automatically redeemed for Cashback or other forms of compensation and require manual redemption from your dashboard on the Meow Website.

    3.1 Qualified Purchases. Certain transactions do not qualify as a Qualified Purchase, including but not limited to cash withdrawals, cash advances, balance transfers, money orders, foreign currency, purchases of prepaid cards and cash equivalents, transactions that are deemed fraudulent, disputed, or unauthorized, transactions subject to a Chargeback, refunded transactions, transactions conducted or authorized in non-U.S. jurisdictions, items returned for credit, and transactions conducted in currencies other than USD. Purchases made from certain merchants will not qualify for Rewards unless explicitly stated otherwise by the terms of your Tier. Non-eligible merchants may be updated or changed at any time without notice at Meow’s sole discretion and can be viewed at https://www.meow.com/non-rewards-merchants.

    For any transaction that does not qualify as a Qualified Purchase but for which you have already received Cashback Credit, or if we otherwise awarded you Cashback Credits in error, we may offset such Cashback Credits using your remaining or future Cashback Credits balance or your balance held in another account with one of Meow’s financial institution partners.

    3.2 Rewards Tiers. We may establish Rewards Tiers with separate criteria for participation and distinct benefits. While we may publicize certain requirements for participation in a Tier, we ultimately make independent evaluations as to whether you qualify. We may use any information that you provide to MTI, or that we otherwise have access to, when determining qualification, and we are under no obligation to disclose the factors involved. Your eligibility for a Tier may be changed at any time in our sole discretion.

    3.3 Cashback Credits Balance. The amount of Cashback Credits you accrue will appear on the Meow Website. You are responsible for making sure the Cashback Credits balance reflected on the Meow Website is correct. If you believe that the Website does not accurately reflect the Cashback Credits that you are eligible to receive, please contact our Customer Support Team at support@meow.com.

    You must notify us of any errors within 60 days of such information being made available to you. If you do not notify us of any such errors within 60 days, you forfeit the right to contest your Cashback Credits balance.

    If you close your Meow Account, you will no longer be able to earn any Cashback Credits or Rewards on any transactions. If your Meow Account is closed or suspended for any reason, you will not earn any Cashback Credits until your Meow Account is restored to a state of good standing under the Meow Terms of Service and these Rewards Terms.

  4. Using Rewards. Rewards, including Cashback Credits, are not your property and have no cash or other stored value. Cashback Credits do not represent a deposit, stored value, or obligation of MTI or any financial institution. They are promotional and have no intrinsic cash value until redeemed. Cashback Credits will not be automatically redeemed for any value or balance credit and must be affirmatively redeemed by you through the Meow Website. If any Cashback Credits or other Rewards are not redeemed, they may be forfeited.

    MTI may, at its sole discretion, refuse any request to redeem Cashback Credits or other Rewards if your Meow Account is not in good standing, if your account has been suspended or terminated, or if you have otherwise breached any obligations under the Terms of Service or these Rewards Terms.

    Requests for redemption may take up to three business days to process, and we may delay or deny redemption pending investigation of suspicious activity or compliance review.

    4.1 Taxes. You understand that it is your responsibility to determine and obtain appropriate tax treatment for any Rewards you redeem and that you are solely responsible for any tax liability arising from or related to any earned Rewards. MTI will not report any income or earnings related to Rewards to a taxing authority, except where expressly required by law.

  5. Losing Rewards.

    5.1 Disqualification. You may be disqualified from participating in the Rewards Program if at any time (i) you engage in self-dealing (such as using Cards to pay for products or services provided by Company, its affiliates, its Beneficial Owners, or other persons affiliated with Company), (ii) you engage in other Prohibited Content as defined in MTI’s Terms of Service, breach policies, or other agreements with MTI, or (iii) you attempt to otherwise game or misuse Rewards, Cashback Credits, or the Rewards Program. Where we determine, in our sole discretion, that you no longer satisfy the requirements for participation in the Rewards Program, we may disqualify you and you may lose any Rewards or Cashback Credits that you have accrued.

    5.2 Closing Your Account. If your Meow Account is voluntarily or involuntarily closed and your Cashback Credits or other Rewards have not been redeemed, such Cashback Credits or other Rewards shall be forfeited.

    5.3 Termination of Rewards Program. In the event this Rewards Program or a Tier you are enrolled in is terminated, any unredeemed Cashback Credits or other Rewards may be forfeited at MTI’s sole discretion.

  6. Other Terms.

    6.1 Termination. Meow may terminate the Rewards Program or any Tiers at any time. If the Terms of Service are terminated, these Rewards Terms will also immediately terminate.

    6.2 Release of Liability. To the maximum extent permitted by law, Company, on behalf of its Users, releases MTI from all liability for your participation in the Rewards Program. Separately, you release MTI from liability for third-party claims in accordance with the Terms of Service. The Rewards Program is provided “as is” and “as available” without warranties of any kind. Meow disclaims all implied warranties, including merchantability and fitness for a particular purpose.

  7. Defined Terms. Capitalized terms in these Rewards Terms have the meanings provided below:

    Meow Account: A business checking or spending account issued through Meow Technologies Inc. and its partner financial institutions.

    Cashback Credits: A credit redeemable to Company’s Meow Account balance.

    Qualified Purchase: A bona fide business-related purchase of goods and services made using a Card that meets the requirements in these Rewards Terms.

    Rewards: Cashback Credits and any other benefits or perks offered or conferred by MTI through its Rewards Program.

    Chargeback: The Card Network dispute process used to reverse a Card transaction that results in the withdrawal or cancellation of funds previously credited to a Meow Account.

    Beneficial Owners: The natural persons who directly or indirectly own or control a specified percentage of equity interests in Company, as determined by applicable law or MTI’s internal compliance policies.

    Tier: A rewards level established by MTI with its own criteria, earning rates, and benefits within the Rewards Program.
